Welcome to StayTeam! These Terms of Use (the “Terms”) govern your access to and use of the StayTeam web and mobile application and related services that facilitate collaborative decision-making and team conflict management using large language models (LLMs) and other AI features (collectively, the “Service”).

1) Who We Are and How These Terms Work

  • Company: StayTeam, an early-stage company in MVP test phase, located in the country of RF, c/o Center for Digital Engineering (CDE) of SK, Innovation Center, RF (“Company,” “we,” “us,” “our”).
  • Agreement: These Terms incorporate by reference our Privacy Policy, any applicable Data Processing Agreement (DPA), Acceptable Use Policy (AUP), and feature-specific terms.
  • Users: Individual Users use the Service personally. Team Customers provision accounts for multiple Team Members and control their workspace.
  • Order of Precedence: If a conflict exists between these Terms and a signed order, DPA, or enterprise agreement with a Team Customer, the signed document controls for that Customer.

2) Account Types and Eligibility

  • Minimum Age: 16 years old (or higher where required).
  • Team Workspaces: Team Members acknowledge their access is provided by a Team Customer and subject to its policies. The Team Customer controls who can access, export, or delete workspace data.
  • Representations: You warrant your registration information is accurate and that you have authority to accept these Terms (for yourself or your organization).

3) What the Service Does (and Doesn’t) Do

  • The Service structures conversations, surfaces perspectives, and generates AI-assisted summaries, options, and rationales for collaborative decision-making and conflict management.
  • No Professional Advice: The Service and AI outputs are not legal, medical, psychological, HR, labor relations, or financial advice, nor a substitute for professional mediation or legal counsel. Outcomes remain your responsibility.
  • Not for Emergencies: Do not use the Service for crises or imminent threats.
  • AI Limitations: LLM outputs may be inaccurate, incomplete, biased, or inappropriate. Apply human judgment and verify critical information.

4) Invitation-Only Access & Student Use

  • Eligibility: Access is by invitation code and limited to students, employees, and faculty of SK during the MVP.
  • No Sharing: You must not share invitation codes or accounts without our written permission. Account sharing is prohibited.
  • Revocation: We may revoke or limit access at any time for testing, security, policy, or legal reasons.

5) Acceptable Use and Team Conduct

  • Civility & Safety: No harassment, discrimination, threats, doxxing, or illegal content/activity. Respect others’ confidentiality and boundaries.
  • Sensitive Content: Do not upload personal data beyond what is necessary for a session unless you have a lawful basis and authorization.
  • Security: Do not probe, disrupt, or bypass access controls, or misuse APIs. No scraping, malware, or rate-limit evasion.
  • Enforcement: We may suspend or terminate access (user or workspace) for AUP violations or risks to users, models, or infrastructure.

6) Confidentiality & NDA (Invitation-Only Testing)

Click-through NDA. By requesting, receiving, or using an invitation code or accessing the Service during the MVP, you agree to this confidentiality section (the “NDA”), in addition to these Terms.

6.1 Confidential Information

“Confidential Information” means non-public information you learn or access through the Service, including without limitation: product designs, features, UI/UX, prompts and system messages, workflows, governance/state logic, datasets, APIs, roadmaps, pricing, performance or benchmarking data, usage data, and any feedback, bug reports, screenshots, recordings, exports, or documentation you create about the Service. Confidential Information does not include information that you can demonstrate is: (a) publicly available without breach of this NDA; (b) already known to you without confidentiality obligations; (c) independently developed without use of Confidential Information; or (d) rightfully received from a third party without confidentiality obligations.

6.2 Obligations

  • Use/Disclosure: You will keep Confidential Information strictly confidential and use it solely to evaluate or use the Service during the MVP. You will not disclose it to any third party without our prior written consent.
  • Need-to-Know: You may share Confidential Information with your employees, faculty advisors, or contractors who have a legitimate need-to-know for testing and who are bound by written obligations at least as protective as this NDA. You remain responsible for their compliance.
  • Prohibited Activities: No reverse engineering, model or system extraction, scraping, dataset harvesting, decompiling, circumventing access limits, or benchmarking/publication (including posting screenshots or outputs) without our written consent.
  • Compelled Disclosure: If legally compelled to disclose Confidential Information, you will (where lawful) promptly notify us and cooperate to seek protective treatment.
  • Return/Deletion: Upon our request or termination of access, you will promptly stop using, and delete or return, Confidential Information (including local copies, screenshots, and notes), except for archival backups retained in the ordinary course which remain subject to this NDA until destroyed.

6.3 Duration & Remedies

  • Term: Your obligations apply during MVP access and for three (3) years thereafter. As to trade secrets, obligations continue for so long as the information remains a trade secret under applicable law.
  • Injunctive Relief: You acknowledge that unauthorized use or disclosure may cause irreparable harm for which monetary damages are inadequate; we may seek equitable relief (including injunction) in addition to other remedies.

This NDA does not limit your rights to your own content or personal data under the Privacy Policy; it governs our non-public business information and your evaluation of the Service during invitation-only testing.

7) Team Governance and Admin Controls

  • Workspace Control: Team Customers may designate admins who manage membership, roles, security settings, and data retention.
  • Project Admins: Project admins can delete data and remove members they invited.
  • Visibility: Content shared in a team workspace may be visible to other Team Members or admins per Customer settings.

8) Privacy, Data Processing, and International Transfers

  • Our Privacy Policy explains data collection, use, sharing, retention, and your rights.
  • Roles: For Team Customers, Company generally acts as a processor/service provider; the Customer acts as a controller/business. For Individual Users, Company is typically the controller/business.
  • Cross-Border Processing: Hosting is on Google Cloud Platform (GCP) in us-central1-a (United States). LLM processing may occur with OpenAI and Google Gemini in their operating regions. Appropriate safeguards apply where required.

9) Data Sources, Model Providers, and Pass-Through Terms

  • Model Providers: OpenAI and Google Gemini. Use may be subject to their limits and acceptable use restrictions. Providers may change over time.
  • Provider Processing: To generate outputs, prompts and inputs may be transmitted to Model Providers and cloud vendors for processing and safety. We apply contractual and technical measures consistent with our Privacy Policy and (where applicable) your DPA.
  • Pass-Through Terms: By using AI features, you agree to any required provider pass-through terms. As between you and us, these Terms govern your relationship with us; provider terms govern provider services.

10) Content, IP, and Feedback

  • Your Content & Outputs: You retain ownership of your inputs and outputs, except where applicable law does not permit ownership of certain outputs. You grant Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, process, reproduce, display, perform, and create derivative works from your content and outputs as necessary to provide, secure, and improve the Service, and—as described in the Privacy Policy—for product improvement. Additional research use requires your opt-in consent where required by law.
  • Irrevocability Limits: Where you exercise deletion rights, we will delete or de-identify personal data, but may retain de-identified copies for analytics, safety, and research integrity as permitted by law.
  • Company Materials: We (and our licensors) own the Service, documentation, models, algorithms, UI, and trademarks (“Company Materials”). No rights are granted except as expressly stated.
  • Feedback: You grant Company a perpetual, irrevocable, sublicensable, royalty-free license to use feedback and suggestions.

11) Research Use of Data (Consent & Controls)

Optional Participation. Participation in research uses is voluntary and not a condition of using core Service features. If you opt in, we may use de-identified or pseudonymized data for research to improve decision quality, fairness, safety, and AI performance. You may withdraw consent at any time; we will cease new research use going forward. Already-used de-identified data may be retained to preserve research integrity, where permitted by law.

12) Security

We implement safeguards appropriate to the data we process, but during MVP there may be bugs and vulnerabilities. No system is perfectly secure.

13) Beta and Experimental Features

Previews and beta features are provided as-is, may be unstable, and may be modified or discontinued at any time.

14) Fees

No fees are charged during MVP/private testing. If fees are introduced later, we will provide updated terms.

15) Term, Suspension, and Termination

  • These Terms remain in effect while you use the Service. We may suspend or terminate accounts for violations, risks, or testing needs.
  • Upon termination, your access ends. We may retain and/or delete data per the Privacy Policy and applicable law. Content storage is not guaranteed during MVP and may be purged at any time.

16) Warranties and Disclaimers

  • Authority: Each party represents it has authority to enter these Terms.
  • Service Disclaimer: The Service and AI features are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind (express, implied, or statutory), including merchantability, fitness for a particular purpose, non-infringement, and accuracy of outputs.

17) Indemnification

  • By You: You will defend, indemnify, and hold Company harmless from claims arising out of (a) your content; (b) your use of the Service in violation of these Terms, law, or third-party rights; and (c) disputes between you and any Team Member, Customer, or third party.
  • By Company (IP Only): We will defend you from claims alleging the Service (excluding your content, outputs, or third-party components) infringes third-party IP and will pay resulting damages finally awarded, provided you promptly notify and cooperate. Remedies may include modifying the Service, procuring rights, or terminating access.

18) Limitation of Liability

  • No Indirect Damages: To the extent permitted, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill.
  • Cap: Except for your payment obligations (none during MVP), AUP breaches, or indemnity obligations, each party’s total liability under these Terms is limited to US $5,000 or the amount paid in the 12 months before the claim, whichever is greater (if any). Mandatory consumer rights may apply.

19) Dispute Resolution; Governing Law

  • Governing Law: Laws of the country of RF, excluding conflict-of-law rules.
  • Venue: Courts located in RF have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
  • Informal Resolution: Contact us first to try to resolve disputes.

20) Export and Sanctions Compliance

You represent you are not located in, under the control of, or a national/resident of any sanctioned country or on any restricted list, and you will not export or re-export the Service in violation of applicable laws.

21) Notices and Changes

  • Notices: We may provide notices via the Service or email.
  • Updates: We may update these Terms to reflect changes to the Service or law. Material changes will be notified where required. Continued use after the effective date constitutes acceptance.

23) Definitions

  • User Content: Inputs, uploads, messages, and configurations you or your team provide.
  • Output: AI-generated text or other model results produced from User Content.
  • Customer: The organization that provisions a workspace for Team Members.
  • Team Member: An individual with access to a Customer workspace.
  • Model Providers: Third parties that process User Content to generate outputs (e.g., OpenAI, Google Gemini).

24) Appendices

Appendix A — Acceptable Use Policy (Summary)

  1. No illegal content or activity; comply with IP laws.
  2. No harassment, hate, threats, or exploitation.
  3. No malware, phishing, or attempts to bypass security.
  4. No scraping or rate-limit evasion; respect API limits.
  5. Respect privacy; do not upload others’ personal data without a lawful basis and permission.
  6. No use for regulated activities (e.g., medical/legal) without appropriate licenses and human oversight.

By using the Service on or after , you acknowledge that you have read and agree to these Terms, including the NDA in Section 6.
